3. Proposal, Contract & Acceptable Use

• Our engagement begins when you accept our proposal, either in writing or electronically.
• You agree to provide accurate business information needed to deliver our Services.
• Any use of our Services for unlawful activity or violation of applicable regulations is strictly prohibited.

4. Deliverables & Project Timelines

• Deliverables are outlined in your accepted proposal or project agreement.
• Project timelines depend on mutual coordination and your timely feedback or approval.
• We will make reasonable efforts to meet deadlines, but delays caused by client-provided materials or feedback may affect delivery dates.

5. Fees, Payment Terms & Refunds

• Fees for our Services will be specified in your proposal or invoice.
• Payments are due as per the agreed schedule—typically via advance deposit followed by milestone payments or as specified.
• Late payments may incur interest or delay deliverables.
• Refunds are processed at our discretion, considering work already performed.

6. Client Responsibilities

• You agree to supply assets (e.g., logos, content, login credentials) needed for project execution.
• You guarantee that all materials you provide don’t infringe on third-party rights.
• You are solely responsible for data security and validity of user-provided content.

7. Intellectual Property & Licensing

• Pre-existing IP: All rights to pre-existing RDS Digital Solutions IP remain with us.
• Deliverables: Once payment is completed, you receive a license to use deliverables for the intended purpose.
• Third-Party Tools: Use of third-party plugins, stock assets, or tools is governed by their respective licenses. You agree to abide by such terms.

8. Confidentiality

We both agree to maintain confidentiality of any proprietary information exchanged during the engagement, unless information is already public or disclosure is legally required.

9. Limitation of Liability

• We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
• Our liability for any claim won’t exceed the amount you’ve paid us for the relevant Services under these Terms.

10. Warranty & Indemnification

• We warrant that Services will be performed professionally and in line with industry standards.
• You indemnify us against any third-party claims arising from your breach of these Terms or from your materials/content.

11. Termination & Effect of Termination

• Either party may terminate the agreement for material breach if it remains uncured after 14 days’ notice.
• You’ll owe us for Services rendered up to termination, including pre-approved expenses.
• Sections on IP rights, confidentiality, indemnity, and liability survive termination.

12. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India, specifically those of the state of Tamil Nadu.
• Disputes may first be addressed via mediation, escalating to arbitration if needed under appropriate laws.

13. Communication & Notices

All formal notices must be in writing and delivered via email or certified mail to:

14. Changes to Terms

We reserve the right to modify these Terms. If changes are material, we’ll notify you in writing at least 30 days before they take effect. Continued use of Services after the update signifies acceptance.

15. Entire Agreement & Severability

These Terms, along with any proposal or service agreement, represent the entire understanding. If any provision is held invalid, the remainder stays enforceable.
